Second Peak Oy — B2B Wholesale Terms & Conditions

Version 3.2 — effective 9 August 2026. These terms replace all earlier versions. The version in force is the one published at the time of order confirmation.

1. Seller and scope

Second Peak Oy, Business ID 3595161-5, Helsinki, Finland ("Seller"). These terms apply to all wholesale purchases by business buyers ("Buyer"). Consumer sales are not made through this shop, and consumer protection legislation does not apply. By confirming an order the Buyer accepts these terms. Terms printed on the Buyer's own order documents do not apply unless separately agreed in writing.

2. Pricing and VAT

All prices are in EUR, excluding shipping. Devices marked [MVat] are sold under the Finnish margin VAT scheme (marginaaliverotus): the invoice shows no separate VAT and the Buyer cannot deduct VAT on the purchase. Devices marked [+ VAT] are subject to standard Finnish VAT, currently 25.5%. The two schemes cannot be combined on one invoice line.

3. Orders and reservations

Each listing represents specific physical devices identified by IMEI. Adding a device to the cart reserves it for one hour; if the order is not confirmed within that time the reservation lapses and the device returns to general stock. An order is binding on both parties once confirmed.

4. Payment and retention of title

Payment terms are agreed per customer and stated on the invoice; where nothing else is agreed, 14 days net from invoice date applies. Late payment incurs statutory interest under the Finnish Interest Act.

Title to the devices passes to the Buyer only when the purchase price has been paid in full. Until then the Buyer may not pledge the devices or give them as security, and shall keep them identifiable by IMEI.

5. Delivery and risk

Devices ship from Helsinki with tracked transport. The method, schedule and cost are confirmed with the order or offer; where nothing else is agreed, shipping is at the Buyer's cost and dispatch is within 2–3 business days of order confirmation. Risk of loss or damage passes to the Buyer when the devices are handed to the carrier.

6. Condition, grading and part status

Devices are used and refurbished. Grading is cosmetic only and says nothing about function. Battery health is stated as the percentage reported by the device at the time of testing and will continue to decline in normal use.

Part status is disclosed per device on the following scale:

  • Genuine — Apple part with no parts warning on the device.
  • Used — aftermarket part with no parts warning.
  • Unknown — the device reports a parts warning. iOS does not identify the part's origin.

Devices marked AM had an aftermarket part fitted by the Seller. The Buyer accepts that refurbished devices may contain non-original components and that a device may display a parts message in its settings. This is disclosed before purchase and is not a defect.

7. Inspection and notice of defects

The Buyer shall inspect the devices without delay on receipt. Defects apparent on inspection shall be notified within 7 days of delivery, and defects discovered later without delay after discovery. Notice shall be sent to [email protected] and shall state the IMEI and the nature of the defect. A device shall not be disassembled or repaired elsewhere before the Seller has been given the opportunity to inspect it.

8. Warranty

Every device is tested and graded before delivery. Devices purchased through this shop carry a 12-month warranty from the delivery date.

Devices supplied on consignment are covered by the separate agreement made with that partner, not by this section.

The warranty covers faults in the device. It does not cover physical or liquid damage occurring after delivery, normal battery wear, or faults caused by repairs carried out elsewhere. Claims are made to [email protected] with the device IMEI. The Seller may, at its option, repair the device, replace it with an equivalent one, or refund the purchase price.

9. Returns other than for defects

A return where no defect is claimed requires the Seller's prior written agreement. Where agreed, the device shall be returned within 14 days of delivery in the condition in which it was delivered, with its original IMEI, unlocked and with any activation lock removed, and the Buyer bears the return shipping cost. The Seller may decline a return where the device has been altered, relabelled or its condition has changed.

10. Activation lock, data and lawful origin

Devices are delivered erased, without activation lock, and are checked against the GSMA blacklist before dispatch. The Buyer is responsible for the data of its own customers and for erasing any device it takes in trade. The Seller warrants that it has good title to the devices sold and that they are not known to be stolen.

11. Liability

The Seller's total liability for any device is limited to the purchase price paid for that device. The Seller is not liable for indirect or consequential loss, loss of profit, loss of data, or the Buyer's liability towards its own customers. These limitations do not apply to damage caused intentionally or by gross negligence, or where Finnish mandatory law does not permit them.

12. Force majeure

Neither party is liable for delay or non-performance caused by an event beyond its reasonable control, including interruption of transport, customs action, or failure of a supplier for the same reason. The affected party shall notify the other without delay.

13. Personal data

Personal data of the Buyer's contact persons is processed to administer orders and deliveries, as described in the Seller's privacy policy at secondpeak.fi/legal.

14. Governing law and disputes

These terms are governed by Finnish law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Disputes shall be settled in the District Court of Helsinki. The parties shall first attempt to resolve any dispute by negotiation.
